JPM & Partners Advised Adval Capital on the Formation of a New Regional TIC Group

JPM & Partners is proud to have advised Adval Capital on the launch of its new regional TIC (Testing, Inspection & Certification) Group — an important step in strengthening the TIC sector across Southeast Europe.

Adval Capital is a Belgrade-based family office dedicated to supporting prosperous entrepreneurs and high-potential companies as they scale, innovate, and expand their presence in regional and global markets.

The project was led by Partner Nikola Poznanović, with support from Partner Jelena Stanković Lukić and Senior Associates Luka Hajduković and Katarina Rosić, who provided comprehensive legal advisory services on both the Aerolab and Tehpro transactions.

The Aerolab acquisition has been successfully completed, with our team supporting the client through legal due diligence, transaction advising, and the execution of key agreements, as well as the company’s integration as the first member of the new TIC Group.

In relation to the Tehpro acquisition, the team supported the client throughout the legal due diligence, transaction structuring phases and advised on the execution of the Share Purchase Agreement, with the completion pending customary regulatory approvals.

This project brings together two strong companies – Aerolab, a leading environmental testing and consulting provider, and Tehpro, a highly qualified HSE services company – forming a future-ready platform built on regional expertise and international standards.
