With the legal support of JPM Partner Nikola Đorđević and JPM Senior Associate Živko Simijonović, Smartsy doo, after the procedures before the Agency for Business Registers and the Central Securities Depository and Clearing House, made the PSU records and thus became among the pioneers of these instruments.
The financial instrument – the right to acquire shares – PSU, is a relatively new legal institute in Serbia, which for the first time gave companies a legally regulated option to stimulate third parties, in such a way as to enable those parties to be included in the ownership structure of the company, which Smartsy doo Belgrade did in regarding 10% of its ownership structure.
Although this possibility has been foreseen by the Law on Companies since 2021, the fact is that companies in Serbia are still not familiar with the benefits and advantages of issuing such a financial instrument, and we hope that many more companies will follow the path of Smartsy doo Belgrade.
